欢迎使用 FretGirl（中文名"看见指板"）。本条款是你与我们之间关于使用 FretGirl 的约定。请仔细阅读，特别是加粗的部分，它们涉及你的重要权利和我们的责任限制。

1. 我们是谁

FretGirl 由 桐开（成都）科技有限公司（以下称"我们"）运营，注册地址：四川省成都市武侯区郭家桥北街76号5层560室。你使用 FretGirl，即是与我们订立本条款。

2. 接受条款

你打开并使用 FretGirl，或者登录账号，即表示你同意本条款以及《隐私政策》（https://fretgirl.app/privacy）。如果你不同意，请不要使用 FretGirl。

3. FretGirl 是什么

FretGirl 是一个在浏览器里使用的吉他学习和练习工具，用 3D 指板帮助你理解和弦、音阶和和弦进行，并可以跟着伴奏练习。它是一项数字服务，没有实体商品。

FretGirl 分为免费版和付费的 Pro。两者分别包含哪些内容，以价格页（https://fretgirl.app/pricing）为准。

我们会持续改进 FretGirl，功能和内容可能会增加、调整或下线。如果某项变化会明显减少你已经付费购买的 Pro 内容，我们会提前通知你，见第 13 条。

公测期间的说明： 目前 FretGirl 处于公开测试阶段。2026 年 11 月 6 日之前，所有功能（包括 Pro）都免费开放，我们不收取任何费用。 从 2026 年 11 月 6 日起开始销售 Pro，第 5 至 7 条从那天起适用；那以后，没有购买 Pro 的账号回到免费版，你在公测期间保存的内容不受影响，按第 8 条处理。

4. 账号

  1. 不登录也能使用。 不登录时，你的数据只保存在当前浏览器里。登录后，部分数据可以在你的设备之间同步，你也才能开始试用、购买 Pro 和恢复购买。
  2. 登录方式。 目前支持邮箱验证码和 Google 登录（中国大陆不提供 Google 登录）。我们以后可能增加其他方式。
  3. 年龄。 你需要年满 14 周岁才能自己注册账号。未满 14 周岁的，请在父母或其他监护人同意并陪同下使用。如果你所在地区的法律要求更高的年龄，以当地法律为准。
  4. 账号安全。 请保管好你的邮箱和第三方登录账号。通过你的账号进行的操作，视为你本人的操作。发现账号被他人使用，请立即联系我们。
  5. 一人一个账号。 账号只供你本人使用，不得出借、共享、转让或出售。
  6. 删除账号。 你可以随时在应用的账号模块里删除账号。如果你还有正在自动续费的订阅，应用会先提示你取消订阅。删除账号后，我们会按《隐私政策》删除你的数据。

5. Pro 的购买和付款

  1. 由 Paddle 处理订单。 我们的订单流程由在线转售方 Paddle.com 处理。Paddle.com 是我们所有订单的 Merchant of Record（记录商户）。Paddle 负责结账、收款、开具收据、计算和代缴税费，并处理与付款有关的问题。购买时，你还需要同意 Paddle 的买家条款（https://www.paddle.com/legal/checkout-buyer-terms）。
  2. 我们提供的方案。
    • 年度订阅： 按年付费，到期自动续费，直到你取消。
    • 一年通行证： 一次付清一年，到期不会自动续费。一年通行证只在中国大陆用户结账时，作为微信支付的付款方式提供（微信支付不支持自动续费）；它包含的内容和价格与年度订阅相同。
    • 各方案的价格、包含的内容和可用的付款方式，以价格页和结账页显示为准。
  3. 价格和币种。 价格按你的账单地址所在地区确定，同一地区的所有用户价格相同。结账页显示的金额是你实际要付的金额，已经包含 Paddle 依法代收的税费。
  4. 自动续费。 年度订阅会在每个计费周期结束时，用你上次使用的付款方式自动扣款。我们会在续费日前至少 7 天通过邮件提醒你，应用里也会提示。
  5. 取消。 你可以随时在应用的账号模块里取消自动续费，也可以通过 Paddle 发给你的收据邮件管理订阅。取消后，Pro 会一直用到当前计费周期结束，之后不再扣款。取消本身不会产生退款；退款规则见第 7 条。
  6. 扣款失败。 如果续费扣款失败，Paddle 会自动重试。重试期间你仍然可以使用 Pro。重试全部失败后，订阅结束。
  7. 价格调整。 我们可能调整标准价格。调整前至少 30 天，我们会通知正在订阅的用户。已经付过钱的计费周期不受影响。
  8. 早鸟锁定特惠和"首发骑士"。
    • 早鸟期：从 2026 年 11 月 6 日开始销售 Pro 起，共 60 天，到 2027 年 1 月 4 日 23:59（北京时间，UTC+8）结束。价格页和应用里不显示这个日期，以本条款为准；你也可以问客服。
    • 在早鸟期内完成一笔付款（年度订阅或一年通行证）的账号，获得锁定年费资格和"首发骑士"头衔。只开始免费试用不算付款。
    • 有资格的账号，以后每次续费或再次购买，都按锁定年费付款：中国大陆账单地址为 ¥88，其他地区为 US$19 或结账页显示的等值当地价格。标准价格以后调整，锁定年费也不变。
    • 价格页上显示的 ¥188 / US$39 是标准年费，也就是早鸟期结束以后，没有锁定年费资格的账号要付的价格。早鸟期内的价格比标准年费低 ¥100 / US$20。
    • "永远"的含义：只要 FretGirl 还在提供 Pro，这个账号就一直按锁定年费付款。如果我们停止提供 Pro，按第 13 条处理。
    • 这个资格属于账号，不会因为你取消自动续费、扣款失败或者过期一段时间而失去。
    • "首发骑士"只是一个荣誉头衔，不带有锁定年费以外的任何额外权益。
    • 如果取得资格的那笔付款被退款或拒付，并且这个账号在早鸟期内没有其他有效付款，资格和头衔都会被取消。
    • 资格和头衔都不能转让给其他账号。
  9. Pro 包含的范围。 Pro 包含价格页上列出的全部内容，以及我们以后加入 Pro 的同类内容（例如新的 Jam 伴奏、新的和弦进行）。如果我们以后推出单独收费的新服务（例如真人课程），它们不属于 Pro，我们会在推出时说清楚。我们不会把现有 Pro 内容移到新的收费项目里。我们会持续往 Pro 里加入新的伴奏和和弦进行。
  10. 手机端（计划）。 我们计划在 2026 年内推出 FretGirl 手机端。推出后，你的 Pro 会员在手机端同样可用，不用重复付费。这是我们的计划，不是保证；如果推迟，我们会在应用里说明。
  11. 显示的价格和实际扣款。 页面会按你所在的地区显示价格，供你参考。实际扣款金额以结账页为准；结账页按你的账单地址确定价格和币种。

6. 免费试用

  1. 登录后，你可以主动开始一次 7 天的 Pro 免费试用。试用不需要绑定付款方式，到期后自动回到免费版，不会扣任何钱。
  2. 每个账号只能试用一次，同一台设备也只能领取一次试用。
  3. 如果我们发现有人通过批量注册等方式反复领取试用，我们可以取消相应的试用。

7. 退款

首次购买和每一次续费，在付款后 14 天内都可以申请无理由全额退款。退款方式和其他规则见《退款政策》（https://fretgirl.app/refund）。

8. Pro 结束后，你的内容会怎样

你的内容不会因为没有付费而被删除或隐藏。

Pro 结束后（包括到期、取消后到期、退款），你会回到免费版：

9. 你的内容

  1. 你在 FretGirl 里创建的内容，例如和弦进行、收藏和草稿，归你所有。
  2. 你登录并开启同步后，我们会存储和传输这些内容，仅用于在你的设备之间同步和为你提供服务。我们不会公开你的内容，也不会把它用于训练 AI 模型。
  3. 你导入的曲谱文件只在你的设备上读取和保存，不会上传到我们的服务器。你需要自己确认你有权使用这些文件。
  4. 你通过反馈提交的文字和截图，我们只用于处理你的问题和改进 FretGirl。

10. 我们的内容

  1. FretGirl 的软件、设计、3D 模型、和弦数据、课程、伴奏、示例曲谱以及其他我们提供的内容（以下称"我们的内容"），由我们或我们的授权方拥有。
  2. 我们授予你一项个人的、非独占的、不可转让的许可：在 FretGirl 里用于你的学习、练习和演奏，以及第 3 项允许的视频。
  3. 你可以录制并公开发布你自己使用 FretGirl 演奏、教学或展示的视频，画面和声音里可以出现我们的内容，包括伴奏。欢迎在视频里注明 FretGirl。但你不得：把伴奏或其他内容单独提取、下载或另行保存；把它们作为单独的素材（例如单独的伴奏音频）转售、再分发或发布；用我们的内容训练 AI 模型。
  4. FretGirl 使用了一些开源软件和素材，它们按各自的许可证提供，列表见开源许可页面。
  5. 关于伴奏： Jam 里的部分伴奏，在制作过程中使用了 AI 音乐生成工具，并经过我们的挑选和处理。由 AI 工具生成的音频可能与其他地方出现的音频相似，我们不保证每一首伴奏都是独一无二的。

11. 使用规则

使用 FretGirl 时，你不得：

  1. 违反法律法规，或者帮助他人违法；
  2. 进行欺诈、发送垃圾信息，或者冒充他人；
  3. 侵犯他人的知识产权或其他权利；
  4. 干扰或破坏 FretGirl 的安全和正常运行，例如传播恶意软件、探测漏洞、未经允许批量抓取数据；
  5. 绕过付费限制，或者逆向工程、提取 FretGirl 的程序、模型、音频等素材；
  6. 通过批量注册、虚假邀请等方式滥用试用或优惠；
  7. 滥用反馈和客服渠道，例如大量提交无意义的内容。

12. 暂停和终止

  1. 你可以随时停止使用 FretGirl，也可以删除账号。
  2. 出现以下情况时，我们可以暂停或终止你的账号或 Pro：你严重违反本条款；付款被拒付或存在欺诈；你的使用给 FretGirl 或其他用户带来安全风险；你多次违反本条款。在合理可行的情况下，我们会先通知你并说明原因。
  3. 因你违反本条款而被终止的，已付费用不予退还，法律另有规定的除外。

13. 服务的变更和停止

  1. 我们可能调整、增加或下线部分功能和内容。
  2. 如果我们决定停止提供 Pro 或整个 FretGirl，会至少提前 30 天通知你，并按比例退还你已付费但还没有使用的期间的费用。在停止前，你可以导出你的数据。

14. 免责声明

  1. FretGirl 按现状提供。我们会尽力保持服务稳定，但不保证服务不中断、没有错误，也不保证一定能达到你期望的学习效果。 FretGirl 不能代替专业老师的指导。
  2. 练习时请注意控制音量，保护听力。

15. 责任限制

在法律允许的范围内，我们对你承担的全部责任，以你在发生责任事件前 12 个月内实际为 FretGirl 支付的金额为限。 这一条不限制法律规定不能限制或排除的责任，例如因我们的故意或重大过失造成的损失，也不影响你作为消费者依法享有的、不能通过约定排除的权利。

16. 适用法律和争议解决

本条款适用中华人民共和国法律（为本条款之目的，不包括香港、澳门和台湾地区的法律）。发生争议时，双方先友好协商；协商不成的，提交 公司住所地有管辖权的人民法院 解决。

如果你是其他国家或地区的消费者，你所在地法律给予消费者的、不能通过约定排除的保护，不受本条影响。

17. 条款的变更

我们可能更新本条款。每个版本都有版本号和生效日期，写在本页顶部。

18. 语言

本条款有中文和英文两个版本。两个版本如有不一致，以中文版本为准。

Welcome to FretGirl (看见指板 in Chinese). These terms are the agreement between you and us about using FretGirl. Please read them carefully, especially the parts in bold, which cover important rights and limits on our liability.

1. Who we are

FretGirl is operated by Tongkai (Chengdu) Technology Co., Ltd. (桐开（成都）科技有限公司), registered at Room 560, 5th Floor, No. 76 Guojiaqiao North Street, Wuhou District, Chengdu, Sichuan, China ("we", "us"). When you use FretGirl, your agreement is with us.

2. Accepting these terms

By opening and using FretGirl, or by signing in, you agree to these terms and to our Privacy Policy (https://fretgirl.app/privacy). If you do not agree, please do not use FretGirl.

3. What FretGirl is

FretGirl is a browser-based guitar learning and practice tool. It uses a 3D fretboard to help you understand chords, scales and chord progressions, and lets you play along with backing tracks. It is a digital service; nothing physical is shipped.

FretGirl has a free plan and a paid plan called Pro. What each one includes is shown on the pricing page (https://fretgirl.app/pricing).

We keep improving FretGirl, so features and content may be added, changed or removed. If a change would noticeably reduce Pro content you have already paid for, we will tell you in advance (see section 13).

During the public beta: FretGirl is currently in public beta. Until 6 November 2026, every feature, including Pro, is free, and we charge nothing. We start selling Pro on 6 November 2026, and sections 5 to 7 apply from that day. After that, accounts that have not bought Pro go back to the free plan; anything you saved during the beta stays yours (see section 8).

4. Your account

  1. You can use FretGirl without signing in. Without an account, your data stays in your current browser only. Signing in lets you sync some data across your devices, and is needed to start a trial, buy Pro or restore a purchase.
  2. Sign-in methods. We currently support email codes and Google (Google sign-in is not offered in mainland China). We may add others later.
  3. Age. You must be at least 14 to create an account yourself. If you are under 14, please use FretGirl only with the consent and supervision of a parent or guardian. If the law where you live sets a higher age, that age applies.
  4. Keeping your account safe. Please keep your email and any third-party sign-in account secure. Actions taken through your account are treated as yours. If you think someone else is using your account, contact us right away.
  5. One person per account. Your account is for you only. You may not lend, share, transfer or sell it.
  6. Deleting your account. You can delete your account at any time in the app's account section. If you still have a subscription that renews automatically, the app will first ask you to cancel it. After deletion we delete your data as described in the Privacy Policy.

5. Buying Pro and paying

  1. Paddle handles orders. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles checkout, payment, receipts and taxes, and deals with payment-related questions. When you buy, you also agree to Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms).
  2. Plans we offer.
    • Annual subscription: paid yearly and renewed automatically until you cancel.
    • One-year pass: paid once for one year; it does not renew automatically. The one-year pass is offered only at checkout to buyers in mainland China, as the way to pay with WeChat Pay (which cannot renew automatically). It includes the same content and costs the same as the annual subscription.
    • Prices, what each plan includes and the available payment methods are as shown on the pricing page and at checkout.
  3. Prices and currency. Prices depend on the country of your billing address. Everyone in the same country pays the same price. The amount shown at checkout is what you pay, including any taxes Paddle is required to collect.
  4. Automatic renewal. An annual subscription renews at the end of each billing period and is charged to the payment method you last used. We will email you at least 7 days before each renewal, and remind you in the app.
  5. Cancelling. You can cancel automatic renewal at any time in the app's account section, or through the receipt email Paddle sent you. After you cancel, Pro stays active until the end of the current billing period, and you will not be charged again. Cancelling does not by itself trigger a refund; see section 7 for refunds.
  6. Failed payments. If a renewal payment fails, Paddle retries it automatically and you keep Pro while it does. If all retries fail, the subscription ends.
  7. Price changes. We may change our standard prices. We will tell active subscribers at least 30 days before a change takes effect. Billing periods you have already paid for are not affected.
  8. Early-bird locked price and the Founding Knight title.
    • Early-bird window: it starts on 6 November 2026, when we begin selling Pro, runs for 60 days, and ends at 23:59 on 4 January 2027 (Beijing time, UTC+8). The pricing page and the app do not show this date; these terms are the reference, and you can also ask support.
    • Accounts that complete a payment (annual subscription or one-year pass) during the window receive the locked annual price and the "Founding Knight" title. Starting a free trial is not a payment.
    • These accounts pay the locked price for every later renewal or purchase: ¥88 for a mainland China billing address, and US$19 or the local-currency equivalent shown at checkout elsewhere. This stays the same even if our standard price changes.
    • The ¥188 / US$39 shown on the pricing page is the standard annual price: what accounts without the locked price pay after the early-bird window ends. The early-bird price is ¥100 / US$20 below the standard price.
    • "Forever" means for as long as FretGirl offers Pro. If we stop offering Pro, section 13 applies.
    • The locked price belongs to the account. You keep it if you cancel automatic renewal, if a payment fails, or if your Pro lapses for a while.
    • "Founding Knight" is an honorary title only. It carries no benefit beyond the locked price.
    • If the payment that earned the locked price is refunded or charged back, and the account made no other valid payment during the window, the locked price and the title are removed.
    • The locked price and the title cannot be transferred to another account.
  9. What Pro includes. Pro includes everything listed on the pricing page, plus content of the same kind we add to Pro later (for example new Jam backing tracks or new chord progressions). If we later launch a separately priced new service (for example live lessons), it is not part of Pro, and we will say so clearly when we launch it. We will not move existing Pro content into a new paid tier. We will keep adding new backing tracks and chord progressions to Pro.
  10. Phone app (planned). We plan to launch FretGirl for phones in 2026. Once it launches, your Pro membership works there too, at no extra cost. This is a plan, not a guarantee; if it is delayed, we will say so in the app.
  11. Displayed prices and what you pay. Our pages show prices for your region as a guide. The amount you are charged is the one shown at checkout, where price and currency are set by your billing address.

6. Free trial

  1. Once signed in, you can choose to start one 7-day free trial of Pro. The trial needs no payment method. When it ends you return to the free plan and are not charged anything.
  2. Each account can take one trial, and each device can be used to claim one trial.
  3. If we find trials being claimed repeatedly, for example through mass sign-ups, we may cancel those trials.

7. Refunds

You can ask for a full refund, for any reason, within 14 days of your first purchase or of any renewal. How to ask and the other rules are in our Refund Policy (https://fretgirl.app/refund).

8. What happens to your content when Pro ends

Your content is never deleted or hidden because you stopped paying.

When Pro ends (it expires, a cancelled subscription runs out, or a payment is refunded), you return to the free plan:

9. Your content

  1. Content you create in FretGirl, such as chord progressions, favourites and drafts, belongs to you.
  2. When you sign in and sync, we store and transmit that content only to sync it across your devices and to provide the service to you. We do not publish your content or use it to train AI models.
  3. Score files you import are read and stored only on your device; they are never uploaded to our servers. You are responsible for making sure you have the right to use them.
  4. Text and screenshots you send us as feedback are used only to handle your request and improve FretGirl.

10. Our content

  1. The FretGirl software, design, 3D models, chord data, lessons, backing tracks, example scores and other content we provide ("our content") are owned by us or our licensors.
  2. We give you a personal, non-exclusive, non-transferable licence to use our content inside FretGirl for your learning, practice and playing, and in the videos allowed by item 3.
  3. You may record and publicly share videos of yourself using FretGirl to play, teach or demonstrate, including our content, such as backing tracks, heard or seen in the video. Mentioning FretGirl is welcome. You may not extract, download or separately save backing tracks or other content; resell, redistribute or publish them as standalone material (for example a backing track on its own); or use our content to train AI models.
  4. FretGirl uses some open-source software and assets, which are provided under their own licences; see our licences page for the list.
  5. About backing tracks: some Jam backing tracks were made with the help of AI music generation tools, then selected and processed by us. AI-generated audio may resemble audio found elsewhere, and we do not promise that every track is unique.

11. Acceptable use

When using FretGirl, you must not:

  1. break the law or help others do so;
  2. commit fraud, send spam or impersonate others;
  3. infringe anyone's intellectual property or other rights;
  4. interfere with FretGirl's security or operation, for example by spreading malware, probing for vulnerabilities, or scraping data in bulk without permission;
  5. get around payment limits, or reverse-engineer or extract FretGirl's code, models, audio or other assets;
  6. abuse trials or offers, for example through mass sign-ups or fake invitations;
  7. abuse feedback or support channels, for example by flooding them with meaningless submissions.

12. Suspension and termination

  1. You can stop using FretGirl at any time and delete your account.
  2. We may suspend or end your account or your Pro access if you seriously breach these terms, if a payment is charged back or involves fraud, if your use puts FretGirl or other users at security risk, or if you repeatedly breach these terms. Where reasonably possible, we will tell you first and explain why.
  3. If we end your access because you breached these terms, fees already paid are not refunded, unless the law requires otherwise.

13. Changes to or ending the service

  1. We may change, add or remove some features and content.
  2. If we decide to stop offering Pro or FretGirl as a whole, we will tell you at least 30 days in advance and refund, pro rata, the paid period you have not used yet. You can export your data before it stops.

14. Disclaimer

  1. FretGirl is provided as is. We work to keep it reliable, but we do not promise it will be uninterrupted or error-free, or that you will reach a particular learning result. FretGirl is not a substitute for a qualified teacher.
  2. Please keep the volume at a safe level when you practise.

15. Limitation of liability

To the extent the law allows, our total liability to you is limited to the amount you actually paid for FretGirl in the 12 months before the event giving rise to the liability. This does not limit liability that cannot be limited or excluded by law, such as for loss caused by our intent or gross negligence, and does not affect any rights you have as a consumer that cannot be waived by agreement.

16. Governing law and disputes

These terms are governed by the laws of the People's Republic of China (for this purpose excluding the laws of Hong Kong, Macao and Taiwan). If a dispute arises, we will first try to resolve it with you in good faith; if that fails, it will be submitted to the people's court with jurisdiction over the place where the Company is domiciled.

If you are a consumer in another country or region, this section does not take away any protection that the law where you live gives consumers and that cannot be waived by agreement.

17. Changes to these terms

We may update these terms. Each version has a version number and an effective date, shown at the top of this page.

18. Language

These terms are available in Chinese and English. If the two versions differ, the Chinese version prevails.
